Terms of Sale, Refunds & Research Use.

1. Acceptance of these terms

These Terms of Sale ("Terms") govern your access to and use of clearlot.io and any purchase of products from ClearLot LLC, a Wyoming limited liability company ("ClearLot", "we", "us"). By accessing this site, acknowledging the entry notice, or placing an order, you agree to these Terms. If you do not agree, do not use the site or purchase from us.

We may update these Terms. The version in force is the one published on this page at the time of your order.

2. Eligibility and permitted purchasers

By placing an order you represent and warrant that:

• You are at least 21 years of age;
• You are acquiring the products solely for in-vitro laboratory research by qualified individuals or institutions;
• You are appropriately trained and equipped to handle laboratory research materials safely;
• You will not administer the products to humans or animals, or supply them to any person who intends to do so;
• You will not resell, repackage or redistribute the products for any consumptive use, or in any way that misrepresents what they are;
• Your purchase, import and possession of the products is lawful in your jurisdiction. Determining this is your responsibility, not ours.

We may refuse, cancel or limit any order at our discretion, including where we believe these representations are untrue.

3. Research use disclosure

All products sold by ClearLot LLC are intended for in-vitro laboratory research use only. They are not drugs, foods, cosmetics or dietary supplements. They are not for human or veterinary use, and are not intended to diagnose, treat, cure or prevent any disease.

Statements on this site have not been evaluated by the Food and Drug Administration. ClearLot LLC is not a compounding pharmacy or an outsourcing facility as defined under sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act.

Nothing on this site is medical advice or a recommendation for use in humans or animals, and nothing here should be relied on as such.

4. Certificates of Analysis

Each batch is assigned a lot number and analysed by an independent third-party laboratory. We publish the resulting report and identify the issuing laboratory and its report number so that it can be confirmed with that laboratory directly.

Analytical results describe the tested sample from that lot as at the date of the test. They are not a warranty of suitability for any particular purpose, and they do not speak to how material behaves after it leaves our custody — storage and handling after delivery are outside our control.

Where a published figure and your own analysis materially disagree, contact us with your results and the lot number; see section 6.

5. Orders, pricing and payment

An order is an offer to purchase. A contract is formed only when we accept the order and dispatch it. Listing a product is not an offer capable of acceptance, and we may decline an order for any lawful reason, including suspected misuse, export restrictions, or errors in pricing or availability.

Prices are in US dollars and exclude taxes, duties and shipping unless stated. We make reasonable efforts to keep pricing and stock accurate; where an obvious error occurs, we may cancel the affected order and refund it in full.

Title and risk of loss pass to you on delivery to the carrier. Any delivery date is an estimate and not a guaranteed date.

6. Refund & returns policy

These are sealed research materials. Once a vial has left our custody we cannot verify how it has been stored or handled, and we cannot reintroduce it into stock. For that reason our returns policy is deliberately narrow.

We do not accept

• Returns or refunds for change of mind, ordering the wrong item, or no longer wanting the product;
• Returns of any product where the seal has been broken, the vial opened, or the material reconstituted;
• Returns of products stored outside the stated conditions after delivery;
• Requests made more than 30 days after delivery.

We will replace or refund

We stand behind what we ship. You are entitled to a replacement or a refund where:

• The order arrived damaged in transit;
• You received the wrong item or the wrong lot;
• The order never arrived (subject to carrier investigation);
• The material does not correspond to the published Certificate of Analysis for its lot, supported by analysis from a competent laboratory.

How to make a claim

Contact us within 7 days of delivery for damage, shortage or incorrect items, and within 30 days for a discrepancy against the certificate. Include your order number, the lot number, and photographs of the outer packaging, the vial and its label. Do not discard the packaging until the claim is resolved — carriers usually require it.

Approved refunds are issued to the original payment method within 10 business days of approval. Shipping charges are refunded only where the fault was ours.

7. Prohibited conduct

You must not:

• Represent, imply or market any ClearLot product as fit for human or veterinary consumption;
• Use our name, branding, product photography or published certificates to promote consumptive use;
• Alter, crop or reproduce a Certificate of Analysis in a way that misrepresents its contents, its scope, or the lot it relates to;
• Resell our products in a manner that breaches these Terms or applicable law.

We may refuse future service to any purchaser who does so.

8. Disclaimer of warranties

Except as expressly stated in section 6, products are supplied "as is". To the fullest extent permitted by law, we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that any product is suitable for any specific research application. Determining suitability, and conducting research safely and lawfully, is the responsibility of the purchaser.

9. Limitation of liability

To the fullest extent permitted by law, ClearLot LLC and its members, officers and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, data, research output or business, arising out of or relating to the products or this site, regardless of the theory of liability and even if advised of the possibility.

Our total aggregate liability arising out of or relating to any product or order is limited to the amount you paid for the product giving rise to the claim.

10. Privacy

We collect only what is needed to answer enquiries and fulfil orders: the details you submit through our contact and waitlist forms, and order and delivery information.

Form submissions are processed by our forms provider on our behalf. Site analytics are privacy-preserving and do not use tracking cookies or build advertising profiles. We do not sell personal information.

To ask what we hold about you, or to have it deleted, contact us using the details in section 12.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to that jurisdiction and venue.

If any provision is held unenforceable, the remainder stays in force.
